Terms of Service

These Terms of Service (“Terms”) govern access to and use of services provided by Quality Health Outcomes, LLC (“QHO”). By engaging QHO’s services or accessing QHO materials, you agree to these Terms.

Nature of Services

Quality Health Outcomes, LLC is an independent, non-clinical healthcare navigation and medical oversight firm. QHO provides advisory, educational, coordination, and informational services only.

QHO does not:

  • Provide diagnosis or treatment

  • Direct or manage medical care

  • Replace licensed healthcare providers

  • Bill insurance or government payors

All clinical decisions, diagnoses, and treatment choices remain solely between the client and their licensed healthcare providers.

No Provider–Patient Relationship

Engagement with QHO does not create a physician–patient, provider–patient, fiduciary, or clinical relationship. QHO does not practice medicine, nursing, or any licensed healthcare profession.

HIPAA Alignment (Non-Covered Entity)

QHO is not a “covered entity” or “business associate” as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA). However, QHO voluntarily maintains HIPAA-aligned privacy and security practices designed to safeguard sensitive information.

Clients acknowledge that HIPAA protections do not formally apply to QHO and agree to the handling of information as described in QHO’s Privacy & Data Protection Policy.

Client Responsibilities

Clients represent and warrant that:

  • They have legal authority to share any information provided to QHO

  • Information shared is accurate to the best of their knowledge

  • They remain responsible for all healthcare decisions

Clients are responsible for consulting licensed healthcare professionals regarding all medical issues.

Information Use & Authorization

Clients authorize QHO to:

  • Organize and summarize medical records

  • Coordinate communications with third parties designated by the client

  • Facilitate access to second opinions, consultations, or services at the client’s request

QHO acts only at the direction of the client and does not independently select or direct medical care.

No Conflicts of Interest

QHO does not accept referral fees, commissions, or compensation from hospitals, physicians, pharmaceutical companies, device manufacturers, or healthcare facilities. Any third-party introductions are made solely at the client’s request.

Limitation of Liability

To the fullest extent permitted by law:

  • QHO shall not be liable for medical outcomes, treatment decisions, or care provided by third parties

  • QHO is not responsible for delays, errors, or omissions originating from healthcare providers, institutions, or third-party systems

  • QHO’s total liability, if any, shall be limited to the fees paid to QHO for the specific services giving rise to the claim

Clients expressly assume all risks associated with healthcare decisions and outcomes.

No Guarantees

QHO makes no guarantees regarding medical outcomes, diagnoses, treatment effectiveness, access to providers, or timeliness of care. Healthcare outcomes depend on multiple factors beyond QHO’s control.

Confidentiality & Communications

Communications may contain confidential, proprietary, or privileged information intended solely for the designated recipient. Unauthorized use, disclosure, or distribution is prohibited. Electronic communications carry inherent security risks.

Indemnification

Clients agree to indemnify and hold harmless QHO, its members, officers, contractors, and affiliates from claims arising out of:

  • Information provided by the client

  • Actions taken at the client’s direction

  • Medical decisions made by third-party providers

Termination

Either party may terminate services pursuant to the applicable service agreement. Termination does not relieve the client of obligations incurred prior to termination.

Governing Law

These Terms shall be governed by the laws of the State of North Carolina, without regard to conflict of law principles.

Modifications

QHO reserves the right to modify these Terms at any time. Continued use of services constitutes acceptance of the revised Terms.
